Non-Binding Letter of Intent

1. Purpose & Background

Customer wishes to evaluate Provider's software (BoardReadyOps) for automated KiCad hardware review, pull request change impact analysis, and manufacturing release governance within Customer's GitHub repositories.

2. Pilot Evaluation Scope

  1. Duration: 60–90 calendar days from successful installation.
  2. Repositories: Up to [Number of Repositories] active hardware design repositories.
  3. Participants: Up to [Number of Engineers] hardware and release engineers.
  4. Success Criteria:
  5. Time to first useful finding < 15 minutes post-installation.
  6. At least 1 preventable manufacturing/BOM risk caught before fab release.
  7. Zero security incidents or intellectual property exposure.

3. Commercial Intent (Contingent on Success)

Upon successful completion of the pilot evaluation meeting the mutually agreed success criteria above, Customer intends to negotiate in good faith a commercial license under the following terms:

  • Target Plan Tier: [Team / Business / Custom Enterprise]
  • Target Contributor Seats: [Number of Seats] active hardware engineers.
  • Estimated Annual Contract Value (ACV): $[Estimated ACV] USD / year (non-binding estimate).

4. Non-Binding Nature & Confidentiality

Except for this Section 4 and any applicable mutual non-disclosure agreements, this Letter of Intent does not create any binding legal or financial obligation on either party. Either party may terminate discussions at any time without liability.
